Work Descriptions:

• Review, draft, negotiate and finalize contracts for (a) licensing of technology, (b) the sale and purchase of engineering services, products, equipment and other services to a broad array of private and government-controlled customers, (c) procurement of materials or services, (d) software contracts, and (e) other ancillary matters. Contracts will include agreements with HON customers, suppliers, and sales agents and distributors, among others.

• Work on M&A projects for PMT APAC under the supervision of PMT APAC General Counsel, advise on the transaction structure and legal issues, direct legal due diligence, perform risk analysis/mitigation, draft legal documentation, coordinate with Honeywell internal stakeholders, supervise and coordinate with external counsels, and participate in the negotiations with the counterparties.

• Support PMT joint ventures in APAC, provide legal advice to the joint ventures or to Honeywell as the JV shareholder, support shareholders’ meeting and board meetings, assist in corporate filing and other related work.

• Manage major dispute resolution cases, including advising on (potential) disputes, attending negotiations or settlements for dispute resolution, coordinating and managing outside counsels in litigations and/or arbitrations, updating and discussing with Honeywell Global Legal on major disputed matters.

• Participate in the provision of integrity and compliance and general legal trainings for the benefit of non-legal personnel; support compliance investigations if necessary.

• Support other law department initiatives.

Qualifications:

• Strong academics, an LL.B.degree from a top law school in China, and a foreign law degree a plus.

• PRC bar qualification required. A foreign bar qualification a plus.

• Minimum 5-10 years of progressive experience in a top law firm or an MNC as an attorney. In-house experience is not necessary but a plus.

• Fluent in English and able to express complex legal concepts in clear and concise language in English.

• Strong negotiation and analytical skills with business acumen to make sound management decisions and recommendations.
