岗位职责：

1、审核公司的涉外业务合同，各类协议，对外函件，起草项目投资过程中涉及的各项投资协议，审核项目运营相关的各类法律文件，包括重大决议、规章、合同及其他重要文件；

2、参与公司投资并购项目，协助国际业务部门开展尽职调查，准备交易文件；

3、合规调查与规范，以规避运营风险，确保公司项目合规；

4、公司各类相关法律事务的协商、调解、诉讼与仲裁活动，处理合同纠纷，与内部法务团队沟通协商解决方案，给公司各部门的经营活动提供相关的支持。

任职要求：

1、本科以上学历，法律、国际法等相关专业，通过国家司法考试；

2、3年以上工作经验，能以英文作为工作语言，具备国际贸易、投资并购等相关法务工作经验者优先；

3、具备扎实的法学理论功底，熟悉经济法、公司法、境外公司设立等相关法律法规；

4、具备诉讼、仲裁方面工作经验；

5、为人热情，踏实肯干，有优秀的逻辑思维、沟通表达和组织协调能力。

Title : legal counsel

JD:

1.Draft 、review the company's foreign-related business contracts(including but not limited to the NDA、 JV contract 、sales contract 、purchase contract、cooperation agreement、)and external letters, draft various investment agreements involved in the project investment process, and review various legal documents related to project operations, including major resolutions, regulations, contracts and other important documents;

2.Participate in the company's investment M&A projects, assist the international business department to conduct due diligence and prepare transaction documents;

Compliance investigation and regulation to avoid operational risks and ensure compliance of company projects;

3.Negotiation, mediation, litigation and arbitration activities of various related legal affairs of the company, handling contract disputes, communicating and negotiating solutions with the internal legal team, and providing relevant support to the business activities of various departments of the company.

4.To prepare and conduct internal legal training for the Board, Senior Managers, employees of Wasion.

Job Requirements:

1. Bachelor degree or above, major in law, international law, etc., passed the national judicial examination;

2, at least 3 years of foreign related working experience, with relevant international legal experience in international trade, investment and mergers and acquisitions;

3.Excellent language skills in English (written and oral),

4. Have a solid foundation in legal theory and be familiar.
